Our Tax Practice Provides Advice to Clients in All Areas of Taxation, Including Puerto Rico and U.S. Federal Income Taxation, Sales, Property and Municipal Taxation, Tax Exemption and Tax Credits.

We have been actively involved in the conceptualization and drafting of several key pieces of tax legislation, including the Puerto Rico Internal Revenue Code of 2011, its predecessor – the Puerto Rico Internal Revenue Code of 1994 – and Act 154 of October 25, 2010, and related regulations and administrative pronouncements. Our tax attorneys represent local and stateside entities, corporations, financial institutions and individuals in tax planning for numerous forms of business organizations, transactions, acquisitions, reorganizations; they provide counsel on the sale and purchase of tax credits granted under local laws, and structuring business transactions and reorganizations. The Firm’s tax practice also assists clients in obtaining rulings and negotiating closing agreements with the Puerto Rico Treasury Department on behalf of our clients. The Firm’s tax attorneys also represent clients before the Puerto Rico Treasury Department, the Puerto Rico municipal governments and the Internal Revenue Service.

As a boutique law firm, we pride ourselves in having one of the most sophisticated tax law teams in Puerto Rico, with ample experience advising and representing both domestic and international companies, as well as their principals, in tax planning and tax dispute matters under both Puerto Rico and US federal law.  Our team, which includes former partners of major law firm departments and Big 4 accounting firms – among them a former Secretary of the Treasury of Puerto Rico– has provided strategic advice in a wide range of transactions, from multi-million dollar construction financings, debt restructurings and complex real estate transactions, to restructurings of small businesses, individual tax planning, and the creation and ongoing operations of tax-exempt entities.

Our areas of practice include corporate tax, partnerships, limited liabilities companies, Sub-Chapter S, international tax disputes, mergers & acquisitions, hospitality tax credits, energy and renewable sources, financial instruments, investment companies, wealth management and estate tax planning, relocation of high net worth individuals to Puerto Rico, exportation of services, restructurings, tax accounting, payroll tax, property transactions, employee benefits, executive compensation, transfer pricing, and tax aspects of charitable giving.  Moreover, our Tax Team has comprehensive experience, having collaborated with the Government of Puerto Rico and appeared before Congress in developing new tax laws.  Our Tax members are frequent participants in many seminars across the island and stateside and have served as expert witness in international proceedings.
